Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Sanji Solutions platform, including the sanjisolutions.io website and Sanji mobile application (collectively, the "Service"), operated by Sanji Solutions LLC ("Sanji," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Service Description
Sanji Solutions provides a cloud-based Direct Store Delivery (DSD) management platform including order management, route dispatch, warehouse management, invoicing, inventory tracking, mobile delivery operations, and QuickBooks synchronization. The Service is designed for small-to-midsize distribution businesses.
2. Account Registration
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at hello@sanjisolutions.io of any unauthorized use of your account.
The account owner may create sub-accounts for team members (managers, drivers, sales representatives, warehouse pickers). The account owner is responsible for the activities of all sub-accounts.
3. Acceptable Use
You agree to use the Service only for lawful business purposes related to distribution operations. You may not:
- Attempt to gain unauthorized access to our systems or other users' data
- Interfere with or disrupt the Service or servers
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to transmit malware, spam, or harmful content
- Resell, sublicense, or redistribute the Service without written permission
- Use automated tools to scrape or extract data from the Service
4. Data Ownership
You retain full ownership of all data you enter into the Service, including customer records, product information, orders, invoices, payments, inventory data, and delivery records. We do not claim any ownership of your business data.
You grant us a limited license to process, store, and transmit your data solely for the purpose of providing the Service. This license terminates when you delete your account.
5. QuickBooks Integration
Our QuickBooks integration operates under Intuit's API terms and developer policies. When you connect your QuickBooks account:
- You authorize bi-directional data synchronization between Sanji and QuickBooks
- We sync customers, products, invoices, credit memos, payments, and vendors
- We never delete records in your QuickBooks account — we only create and update
- You may disconnect the integration at any time from the Settings page
- QuickBooks data processing is subject to Intuit's privacy policy
6. Service Availability
We strive for 99.9% uptime for our web dashboard and API services. Our mobile application is designed with offline-first architecture, ensuring your delivery operations continue without internet connectivity. Data synchronizes automatically when connectivity is restored.
We may occasionally perform scheduled maintenance with advance notice. We are not liable for service interruptions caused by factors outside our control, including internet outages, third-party service failures, or force majeure events.
7. Data Security and Compliance
We implement industry-standard security measures to protect your data:
- End-to-end encryption for data in transit (HTTPS/TLS)
- AES-256 encryption for data at rest
- Multi-tenant data isolation (your data is completely separated from other companies)
- Role-based access controls
- Audit logging for sensitive operations
- Regular security assessments

8. Payment Terms
Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' advance notice. Continued use after a price change constitutes acceptance of the new pricing.
9. Intellectual Property
The Service, including its design, code, features, and documentation, is owned by Sanji Solutions LLC and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service. The Sanji name, logo, and brand assets are trademarks of Sanji Solutions LLC.
10. Limitation of Liability
To the maximum extent permitted by law, Sanji Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Sanji Solutions and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
12. Termination
Either party may terminate this agreement at any time. You may cancel your account from the Settings page or by contacting us. Upon termination:
- You may request a full export of your data within 30 days
- After 30 days, your data will be permanently deleted
- We may retain anonymized, aggregated data for analytics purposes
- Provisions that by their nature should survive termination will remain in effect
We reserve the right to suspend or terminate accounts that violate these Terms, with notice when practicable.
13. Dispute Resolution
Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA) in Miami-Dade County, Florida.
14. Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
